MEMBERSHIP TERMS AND CONDITIONS

1.1 By paying for any COMPANY membership:

1.2 You agree to comply with these Terms and Conditions of Membership and any Membership Rules as may be amended by COMPANY from time to time at its discretion throughout your period of membership.

2 DEFINITIONS

2.1 COMPANY or We or Us: Company Spaces Limited, part of Inspiration Brands Group Limited trading as COMPANY

2.2 Member or You: A member of COMPANY

2.3 These Terms and Conditions govern your use of COMPANY, its website and associated benefits.

3 MEMBERSHIP ETHOS

3.1 Every member is valued.

3.2 Every member is respected.

3.3 Every member is an individual with equal rights and responsibilities.

3.4 COMPANY believes people are better together.

3.5 Members respect others’ boundaries but aren’t afraid to engage in meaningful dialogue.

3.6 COMPANY members keep each other’s secrets.

3.7 COMPANY is more than the sum of its parts.

3.8 COMPANY and its members support the local community.

3.9 Every member is part of the COMPANY solution.

4 CARDS

4.1 A membership card shall be issued to you upon joining COMPANY and will be used exclusively by you for membership benefits.

4.2 This card remains the property of Company Spaces Limited and must be surrendered to COMPANY upon the termination or suspension of membership.

4.3 If your membership card is lost or stolen you must notify COMPANY and we reserve the right to charge an administration fee for the provision of a replacement card.

4.4 Members using member benefits at COMPANY will sign in with their card upon entry to COMPANY and sign out again at departure.

Members who do not have their card will only be able to use membership benefits at the sole discretion of COMPANY and must produce their membership card on their next visit.

4.5 If your membership of COMPANY terminates, you must return your membership card to COMPANY at your earliest convenience and you agree not to benefit from its use in any way before returning it.

5 FEES

5.1 Company Spaces Limited will set the level of membership fees and will review such fees periodically. We reserve the right to change the level of fees from time to time. We will give you at least 30 days written notice of any changes to the levels of membership fees. Current membership fees are displayed on our website at www.companyspaces.com/#membership.

5.2 Fees are due and payable monthly in advance.

5.3 Available hours per month are a maximum for that rate of membership. Any unused hours will not be rolled over to subsequent months.

5.4 Holidays are taken at members’ discretion and will not constitute a break in membership.

5.5 You will be permitted to use COMPANY Members’ facilities provided your membership is current and fees are fully paid up or you have made payment arrangements acceptable to COMPANY.

6 BENEFITS

6.1 Partners

6.1.1 COMPANY endeavours to build partnerships with other local businesses for the benefit of its members.

6.1.2 Any benefit derived from partners is at the sole discretion of COMPANY and its partners and may be removed or amended at any time without notice.

6.2 Printing

6.2.1 Printers are available to members at the sole discretion of COMPANY and their availability does not form part of membership rights.

6.2.2 Printing services are provided when available for the benefit of members under this fair use policy.

6.2.3 Printing will be in small order and ancillary to the primary business of members.

6.2.4 Any large print jobs should be taken elsewhere.

6.3 Lockers

6.3.1 Lockers are available at the discretion of COMPANY for the use of members.

6.3.2 Any padlock may be used though padlocks are available for purchase from reception.

6.3.3 COMPANY values and respects personal property, and its safety, however cannot take responsibility for any loss or damage to personal property, whether in a locker or not.

6.3.4 Padlocking a locker does not constitute ownership and COMPANY reserves the right to open a locker at any time, even if this causes the destruction of the padlock, for which COMPANY takes no responsibility for repair or replacement.

6.4 Other Equipment

6.4.1 Equipment, such as monitors, keyboards, chairs, stationery, and the like, are provided for the general use of members at the sole discretion of COMPANY without prejudice or right of access.

6.4.2 Any equipment used at COMPANY, whether belonging to COMPANY or to yourself, is used at your own risk.

6.4.3 Any use of COMPANY equipment is a privilege and over and above rights of membership.

7 REFERRAL

7.1 Company Spaces Limited may operate a membership referral scheme from time to time whereby you will receive a financial or other benefit for introducing new members to COMPANY. This is wholly at the discretion of COMPANY and does not constitute a legally binding contract or expectation of further benefits in the future.

8 PAYMENT

8.1 When you become a member of COMPANY you pay a non-refundable fee providing you with membership privileges in accordance with the level of fee you have paid.

8.2 During the sign-up proves, you set up a recurring payment to ensure you can continue with the benefits of membership.

8.3 If your payment fails, we will write to advise you of this. Your membership will be suspended until such time as your fee has been paid.

8.4 We may appoint a payment processing agent to receive and collect your monthly fee. There will be no extra cost to you for these processing services supplied by such agent.

9 MEMBERSHIP TERM

9.1 The minimum term of membership is one calendar month.

9.2 Memberships can only be purchased in units of one month and any termination part way through a month implies an end of membership at the end of the membership month.

9.3 Your membership will continue automatically at the fee rate applicable to your membership level for as long as you continue to pay the monthly fee.

9.4 If you should stop paying the monthly fee, your membership will terminate on the due date of the fee.

9.5 Company Spaces Limited reserves the right to refuse or terminate membership without cause or explanation and without prejudice.

9.6 A Membership month runs from the date of the month that the membership is instigated until the first real day before the same date of the following month. For example, if a membership month begins on March 31st, it will end on April 30th and renew on May 1st.

10 DATA

10.1 You agree that Company Spaces Limited, and persons who control the data collected, may use the information provided by you in accordance with the privacy policy which you may find on our website: www.companyspaces.com/privacy/.

10.2 In particular, you agree that your name, image, profile statement and any further non-sensitive information that, you may supply, be displayed in COMPANY for the mutual benefit of members.

10.3 You may restrict this display of data in your preferences in the members area of the website at www.companyspaces.com/members

10.4 COMPANY may restrict or amend any information from appearing on display that it deems inappropriate. We will inform you if this is the case.

10.5 The data collected from you may be transferred out of the European Economic Area (EEA) to be processed on behalf of and under the instruction of Company Spaces Limited by third party data processors based in the USA and elsewhere. Company Spaces Limited is satisfied that arrangements are in place to ensure an adequate level of protection for your rights and freedoms as data subject in relation to the processing of your data.

10.6 COMPANY is under 24-hour recorded audio-video surveillance (CCTV) and all usage is logged for the protection of members of the public, COMPANY members, staff and property. Images and audio are kept for the minimum time required by law and will be released to the proper authorities only where it is a legal requirement to do so.

11 GUESTS

11.1 You may bring in guests to COMPANY at the sole discretion of COMPANY in order to meet with them and carry on your business with them.

11.2 Guests should be limited to the lounge and/or meeting areas and are subject to this fair usage policy.

11.3 More than five guests at any one time should be booked in advance in order that your group can be well facilitated by COMPANY and to ensure your group does not clash with any other large group.

11.4 Guests wanting to do their own work, whether at a desk, meeting space or lounge, should purchase a membership, whether monthly or pay-as-you-go. Pay-as-you-go hours can be purchased by you on their behalf but will not be discounted.

12 CONDUCT

12.1 Membership of COMPANY is a privilege not a right.

12.2 Please leave COMPANY as you would wish to find it, clearing tables of your possessions, your work and your rubbish, using recycling bins provided, returning any COMPANY equipment to its usual place.

12.3 Company spaces limited may serve alcohol from the bar at its sole discretion. This will normally be limited to the end of a working day and during evening and special events.

12.4 Alcoholic beverages are served for your enjoyment. Drunken behaviour will not be tolerated and may result in termination of your membership without refund.

12.5 Abusive language, threatening or violent behaviour, abuse of equipment, use of illegal substances, and smoking or vaping at COMPANY will not be tolerated and may result in suspension or termination of your membership without refund.

12.6 No photography (including the taking of images through a mobile phone or camcorder) is allowed in any area of COMPANY without the express permission of staff members on each occasion.

12.7 We may refuse entry to COMPANY without cause, explanation or prejudice.

13 HEALTH AND SAFETY

13.1 You are responsible for familiarising yourself with the health and safety procedures of COMPANY. Members must comply with these procedures at all times.

13.2 COMPANY contains many health and safety hazards. Risks to using the space have been assessed and mitigated for, however vigilance and common sense is expected and required from all users of the space.

13.3 Please report any health and safety concerns to the duty manager and follow up to ensure you are happy with the outcome.

13.4 In case of fire, please follow instructions of staff members. Leave the building using the nearest safe exit, turn left and congregate on the far side of the bridge. Do not re-enter the building until told it is safe to do so.

14 RECOMMENDATIONS TO MINIMISE RISK

14.1 COMPANY takes no responsibility for theft or damage to personal property and equipment and makes these recommendations as a result of its risk assessments:

14.2 Surge Risk. The risk of equipment being damaged by an electric surge is low and mitigated by external power supplies on most portable equipment. Please use a surge protector if you wish to decrease risk in this area.

14.3 Physical Theft. The members’ areas in COMPANY are not open to the public however unknown persons may from time to time gain access. The area is protected by CCTV and lockers are provided. COMPANY recommends that you do not leave personal possessions unattended.

14.4 Theft of Intellectual Property (IP). Benefitting from others’ IP is expressly against the ethos of COMPANY. COMPANY is an open plan office where intellectual property may be at risk and we recommend taking precautions to keep IP safe.

14.5 Open WIFI. Every member of COMPANY is on the same wifi network. This is different to the free, public wifi however is still not impervious to unauthorised access. COMPANY recommends the use of encryption for all wifi communication. For further security consider the use of a VPN or other security.

15 ACCESS BY MINORS

15.1 For safety and security reasons, persons under 18 years old will not normally be allowed membership of COMPANY and not without the signed consent of a guardian.

15.2 Under certain circumstances unaccompanied 16 or 17 year olds may work in COMPANY. Members of COMPANY will not put themselves in circumstances with a minor that could take advantage of their vulnerability.

15.3 Concerns about the conduct of others should always be brought to the attention of the duty manager and escalated to the police if you are not happy with the outcome.

16 OPENING TIMES AND CLOSURES

16.1 COMPANY normal opening hours are Monday to Friday, 9am til 5.30pm, not including English bank holidays.

16.2 COMPANY may vary the opening hours from time to time and will give notice of such changes.

16.3 Opening hours are the hours during which you may use the facilities at COMPANY, subject to these terms and the number of hours permitted in your membership band.

16.4 COMPANY may be temporarily closed for other periods for maintenance or other purposes, with or without notice.

16.5 COMPANY holds no responsibility for loss of earnings or any other loss resulting directly or indirectly from its closure, planned or unforeseen.

17 SALE OF COMPANY

17.1 In the event of the sale or disposal of COMPANY to another company or to any other person we may transfer your membership to the new owner. In such circumstances you will continue as a member of COMPANY and continue to pay your membership fees provided no changes to these terms or rules having a material adverse effect on your use of the space are made by the new owner.

17.2 Any such disposal will not affect your contractual or statutory rights.
